CONSTITUTION
Preamble
The International College of Dentist is a leading international honor dental organization. The Philippines Section attained its autonomy in 1966 as one of the eleven autonomous section worldwide. It is dedicated to the recognition and propagation of outstanding professional achievement and meritorious service for the benefit and continuing development of humankind in general, and of dentistry in particular. It is a non-stock, non-profit, non-sectarian and non-governmental organization.
Article I Name
The name of the organization shall be the International College of Dentists, Philippine Section Inc. It shall also be referred to in this document as the “College” or the “Section”.
Article II Objectives
The objectives for which the Section is established are:
- The advancement of the art and science of dentistry for the oral health and welfare of the Filipino people and society-at-large;
- To endeavor to bring together and unite outstanding members of the dental profession, encourage diffusion of knowledge and good will among them;
- To encourage postgraduate study and research in the field of dentistry and cognate subjects;
- To cultivate and foster cordial relations, as well as cooperation among dentist, the medical, and other health professions for the prevention and control of oral diseases;
- To preserve and elevate the dignity of the dental profession by enjoining all members to maintain the highest ethical standards in both professional and personal conduct;
- To encourage and support projects of humanitarian nature, recognize conspicuous and meritorious service to the profession and provide a method of recognition; and
- To perpetuate the history of dentistry.
Article III Authority
The governing authority of the College shall be established in this Constitution and Bylaws and when necessary, delineated in the Policy Manuals that may be adopted in the future. These documents may be referenced in whole or in part as may be required.
Article IV Organization
Section 1 Membership
There shall be five (5) categories of memberships to be known as “Fellows” These are Active, Master, Life, Honorary and Guest Fellows. For qualifications and to remain in good standing , refer to Article I of the Bylaws.
Section 2 Regency
The College may organize Regencies in any region within the country to facilitate administration and promote more effectively its objectives at local and regional levels. Organization of said Regencies, however, must abide by the Constitution and Bylaws of Section See Article II Section 1 (1.2) of Bylaws.
Section 3 Headquarters
The day to day business and affairs of the College shall be conducted in a “Headquarters” which shall be in Metro-Manila. Under certain circumstances, however, this may be located at another venue as approved by the Board in consultation with the members.
Article V Governance
The governance of the College shall be vested in the Fellows as exercised in their voting rights. The operations shall be vested in the Board of Directors and Standing Committees and such Committees as may be created by the President and approved by the Board as the need arises. Decisions and actions must be in accordance with and mandated by this Constitution and Bylaws. The Board of Directors and Committees shall be structured as provided for in Article II Section 1 of the Bylaws.
Section 1 Officers
1.1 Elective Officers the elective officers shall be the President, President-Elect, Vice President, Secretary, Treasurer, Auditor, Public Relations Officer and two (2) Directors. They shall be elected by plurality votes of members present during the third quarterly meeting (Refer to Article 3 Section 1 (1.1.3) of the Bylaws for qualifications.
1.2 The immediate Past President is automatically the third Director (Ex-Officio)
1.3 The abovementioned ten (10) officers shall compose the Board of Directors who shall be the governing body of the College.
1.4 Appointive officers the appointive officers are: the Councilman and the Editor with a term of three years without prejudice to reappointment. The Orator and Marshall’s terms shall be co-terminus with the term of the President.

Article VI Fees and Audit
Section 1 Induction Fee: An induction fee set by the Board shall be charged for each new Fellow. Said fee shall be due and payable when the candidate is inducted to Fellowship
Section 2 Annual Fee: An annual fee shall be assessed each Active Fellow payable during the first quarter of each calendar year.
Section 3 Capitation: A Capitation set by the International Council shall be remitted to the Central Office of the International Council for each Active Fellow annually.
Article VII Meetings
Section 1 Annual Meeting: The Annual Meeting shall be in January at the time and place recommended by the president and approved by the Board.
Section 2 Regular Quarterly Meetings: These shall be held during the months of April, July and October of every year.
Section 3 Board of Directors Meeting: The Board shall meet as often as necessary upon the call of the President or upon the request of any three (3) members of the Board.
Section 4 Quorum: A simple majority (50%+1), of the total active members present shall constitute a quorum in all meetings.
Section 5 Rules of Order: Should any conflict arise during the deliberations in meetings, the latest book “Parliamentary Procedures” by Orendain shall be the guide.
Article VIII Official Seal / Emblem
Section 1 Color: Official College color shall be GREEN and GOLD.
Section 2 Emblem: The College shall adopt the Official emblem of the International College of Dentists which shall be used in its seal, banner, letterhead, etc.
Section 3 The National Tricolor of the Republic of the Philippines may appear in the official seal or emblem of the College when necessary.
Article IX Fiscal Year
The Fiscal Year of the International College of Dentists Philippine Section shall be the standard calendar year, January 1 to December 31.
Article X Dissolution of the College
If upon dissolution of the College after the settlement of all debts and liabilities there remains any properties and/or assets, these shall not be distributed among the Fellows, but shall be donated to institutions having the same objectives as that of the College.
Article XI Amendments of the Constitution
Any provision of this Constitution may be amended during the Annual Meeting of the College. The notice shall set forth the proposed amendments and shall be mailed at least one (1) month before said meeting. Two thirds (2/3) votes of the majority of the Fellows present shall be required for approval of the amendments, provided, however, that proposed amendments bearing the signatures of five (5), Fellows shall have been submitted officially to the Secretary.
